Fees for services will be specified in individual service agreements. Payment terms, including deposit requirements, milestone payments, and final payment conditions, will be outlined in the applicable service agreement. All fees are quoted in Chinese Yuan Renminbi unless otherwise specified. Late payments may be subject to interest charges at the rate permitted by applicable law. Zen Grace reserves the right to suspend services for accounts with overdue payments. Clients are responsible for all taxes, duties, and other governmental charges associated with the services, except for taxes based on Zen Grace's income.
Both parties acknowledge that in the course of performing services, they may have access to confidential information of the other party. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without the prior written consent of the disclosing party, except as required by law. Confidential information does not include information that is publicly available, already known to the receiving party, independently developed by the receiving party, or rightfully obtained from a third party without breach of confidentiality obligations.
Zen Grace warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. However, the site and services are provided on an as-is and as-available basis.
